1. Agreement to these terms
These Terms of Use (“Terms”) are an agreement between you and the provider of Pandee (“Pandee,” “we,” “us,” or “our”). They apply to the Pandee mobile application, website, content, and related services (collectively, the “Services”). By downloading, accessing, purchasing, or using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Services. If you are not old enough to enter a binding agreement where you live, a parent or legal guardian must review and accept these Terms for you.
2. The Pandee service
Pandee provides tools for studying Chinese, including HSK vocabulary, spaced review, pronunciation playback, character and stroke-order practice, daily sentences, learning games, progress information, reminders, and Home Screen or Lock Screen widgets. Features may differ by device, operating system, region, app version, and subscription status.
No Pandee account is currently required. You are responsible for your device, Apple Account, internet access, and any carrier or connectivity charges needed to use the Services or verify a purchase.
3. Pandee Pro purchases and subscriptions
Plans and billing
Pandee may offer auto-renewing monthly and annual subscriptions and may offer other plans or promotional trials. The exact price, currency, billing period, trial terms, and available plans are displayed in the app’s purchase screen and Apple’s confirmation sheet before you purchase. Payment is charged to your Apple Account through the App Store.
Automatic renewal and cancellation
An auto-renewing subscription continues for successive billing periods unless you cancel it through your Apple Account subscription settings. Cancel before Apple processes the next renewal to avoid the next charge. Deleting Pandee does not cancel a subscription. After cancellation, you generally retain access through the end of the period already paid for, subject to Apple’s rules.
Trials, price changes, and access
If a free trial is offered, eligibility and duration are shown before purchase. Unless cancelled before the trial converts, Apple will charge the displayed subscription price when the trial ends. Price changes and any required consent or notice are handled under App Store rules. Pandee Pro access depends on a valid, active entitlement verified through Apple and RevenueCat.
Restoration and refunds
You can use “Restore Purchases” in Pandee to check eligible purchases associated with your Apple Account. Apple processes payments and refund requests. Except where applicable law requires otherwise, we cannot issue App Store refunds directly. You may request a refund at reportaproblem.apple.com.
4. License and acceptable use
Subject to these Terms and the Apple Standard EULA, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use Pandee for personal, non-commercial learning on devices you own or control, as permitted by applicable App Store usage rules.
You may not:
- Copy, sell, sublicense, rent, redistribute, or commercially exploit the Services.
- Reverse engineer, decompile, disassemble, bypass, or tamper with the Services, except to the limited extent applicable law expressly permits it.
- Circumvent a paywall, entitlement check, access control, or security measure.
- Use the Services to violate law or the rights of another person.
- Interfere with, overload, probe, or introduce malicious code into the Services.
- Remove or alter copyright, trademark, or other proprietary notices.
5. Content, intellectual property, and learning results
The Services—including their design, software, illustrations, mascot, text, lesson presentation, databases, audio, and branding—are owned by us or our licensors and are protected by intellectual-property laws. “Pandee” and associated branding may not be used without permission.
Language definitions, pinyin, example sentences, translations, stroke data, and pronunciation aids are provided for general educational use. We work to make them useful and accurate, but language is contextual and content may contain omissions or errors. Pandee does not guarantee any exam score, certification, fluency level, or other learning result.
6. Third-party services and terms
The Services rely on third parties, including Apple for app distribution, device features, and payment processing; RevenueCat for purchase and entitlement management; and GitHub Pages for website hosting. Your use of those services may be subject to their own terms and privacy policies. You agree to comply with applicable third-party terms when using Pandee.
We are not responsible for third-party services, their availability, or decisions they make about payments, refunds, accounts, or device features, except to the extent applicable law says otherwise.
7. Changes, availability, and termination
We may update, add, change, suspend, or discontinue parts of the Services to improve Pandee, address security or legal requirements, or reflect changes to third-party platforms. We do not promise that every feature or piece of content will always remain available.
You may stop using the Services at any time. You must separately cancel an active subscription through Apple if you do not want it to renew. We may suspend or terminate access if you materially violate these Terms or if necessary to protect the Services, users, or others. Provisions that by their nature should survive termination will survive.
8. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not warrant uninterrupted, error-free, secure, or universally compatible operation, or that content will meet your needs.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you. Nothing in these Terms excludes statutory consumer rights that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law, Pandee and its provider will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or opportunity, arising from or related to the Services, even if advised that such loss is possible.
To the maximum extent permitted by law, our total liability for claims arising from or related to the Services will not exceed the greater of the amount you paid for Pandee during the 12 months before the event giving rise to the claim or US$50. These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
10. Additional terms required for Apple users
- These Terms are between you and us, not Apple. We, not Apple, are responsible for Pandee and its content.
- Apple has no obligation to provide maintenance or support for Pandee. Contact us using the details below for app support.
- If Pandee fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price for the app, if any, as required by the Apple Standard EULA. To the maximum extent permitted by law, Apple has no other warranty obligation regarding Pandee.
- We, not Apple, are responsible for addressing claims relating to Pandee, including product-liability, legal-compliance, consumer-protection, and intellectual-property claims, subject to these Terms and applicable law.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as supporting terrorism, and are not listed on a U.S. Government prohibited or restricted parties list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.
11. General terms
Applicable law and the courts with jurisdiction over a dispute will be determined by mandatory consumer-protection rules and the Apple Standard EULA. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, transfer, or sale of the Services. These Terms, the Privacy Policy, and the Apple Standard EULA form the agreement governing your use of Pandee.
We may update these Terms as the Services or legal requirements change. We will post the updated Terms here with a new effective date and provide any additional notice required by law. Continued use after the effective date means you accept the updated Terms, where permitted by law.
